Acceptance of Terms

By accessing the website of DigiMinds (“we,” “our,” or “us”), or by engaging us for Fractional CMO, performance marketing, or lead generation services, you (“Client,” “you”) agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

Scope of Services & Operational Boundaries

DigiMinds provides strategic performance marketing, paid media management (Google Ads, Meta Ads, TikTok Ads), technical SEO consulting, data attribution setup (GA4, Meta CAPI), and CRM automation (GoHighLevel).

Strict Exclusions:

  • No Website Development: We do not offer website development, coding, hosting management, or on-site troubleshooting. We provide UI/UX and tracking blueprints; the Client’s internal or third-party web developers are solely responsible for executing the code.
  • No Dropshipping/White-Label Product Marketing: We exclusively partner with Private Label DTC brands and service-based businesses. We reserve the right to refuse service to dropshipping or unverified white-label e-commerce models.

Client Obligations

To ensure the success of our campaigns, the Client agrees to:

  • Provide timely access to necessary platforms (Google Ads, Meta Business Manager, GA4, Shopify, CRM).
  • Ensure their website complies with all local and international laws, including having their own compliant Privacy Policy.
  • Implement the tracking codes, UI/UX changes, and SEO recommendations provided by DigiMinds via their own development team.

Limitation of Liability regarding Third-Party Platforms & Development

  • Ad Platform Volatility: DigiMinds does not control the algorithms, policies, or actions of third-party platforms (Google, Meta, TikTok, LinkedIn). We are not liable for account suspensions, ad disapprovals, loss of tracking data due to platform updates (e.g., iOS updates), or sudden changes in Cost Per Acquisition (CPA) caused by market volatility.
  • Website Downtime & Coding: Because we do not develop or host websites, DigiMinds shall not be held liable for any website downtime, coding errors, server crashes, or loss of revenue resulting from the Client’s developer implementing (or failing to implement) our blueprints.
  • No Income Guarantees: While we utilize data-driven strategies to maximize ROI, advertising carries inherent financial risks. DigiMinds does not legally guarantee specific financial outcomes, lead volumes, or return on ad spend (ROAS).

Fees, Retainers, and Ad Spend

  • Ad Spend: The Client is solely responsible for all ad spend billed directly by Google, Meta, TikTok, or other platforms. Ad spend is non-refundable.
  • Agency Fees: Fractional CMO and agency retainer fees are billed as outlined in the Client’s specific Service Level Agreement (SLA) or Master Services Agreement (MSA).
  • Refund Policy: Due to the intellectual property and labor invested in strategy, audits, and campaign builds, all agency fees are strictly non-refundable once work has commenced.

Intellectual Property

  • DigiMinds IP: All proprietary methodologies, marketing blueprints, CRM workflow structures, and AEO/SEO strategies provided by DigiMinds remain our intellectual property until all invoices are paid in full.
  • Client IP: The Client retains full ownership of their brand assets, website code, and ad account data. We build inside your ad accounts, ensuring you retain historical data if our partnership ends.

Confidentiality & Non-Disclosure

Both parties agree to maintain the strict confidentiality of any proprietary business information, trade secrets, financial data, or lead lists shared during the term of the partnership.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of [Insert Jurisdiction/Country, e.g., the Islamic Republic of Pakistan / the United Arab Emirates]. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in [Insert City/Country].

Modifications to Terms

DigiMinds reserves the right to revise these Terms and Conditions at any time. We will notify active clients of material changes. Continued use of our website or services after such changes constitutes acceptance of the new terms.
